Mutual confidentiality agreement
Version: nda-2026-09-02-v1
Parties and acceptance
This agreement is between SAC Fashion Global Ltd (CRO 809740), trading as SAC & Friends (SAC), and the legal entity or sole trader identified in the submitted acceptance record (Partner). SAC offers to be bound on these terms. The agreement takes effect when the completed form and acceptance are successfully saved by the receiver. The typed signatory confirms authority to bind the Partner; a sole trader agrees personally. No personal guarantee is given by an authorised company representative.
Purpose and scope
The parties may exchange information to evaluate a potential SAC & Friends multi-brand retail, membership, pop-up or international partnership. Neither party must participate, pay, disclose information or enter a further agreement. This NDA does not restrict competition or create exclusivity.
What is confidential
Confidential Information means non-public information disclosed for this purpose during the 12 months from the effective date, marked confidential or reasonably understood to be confidential, including the submitted brand responses, unreleased plans, commercial proposals and business information. Information already public, including the public website video, is not made confidential by this agreement. Other exclusions are information lawfully already known, independently developed, lawfully received from a third party without a duty of confidence, or released in writing by the discloser.
Mutual duties
Each recipient will use Confidential Information only for the stated purpose, take reasonable security measures and make only necessary copies. It may share information with staff and professional advisers who need it for that purpose and are bound by confidentiality duties. The recipient is responsible for their compliance. It must not publish the information or upload it to unrelated third-party services.
Required disclosures and incidents
A recipient may disclose the minimum information required by law and, where lawful and practicable, give the discloser advance notice. Nothing prevents protected disclosures or cooperation with a regulator. A recipient will promptly notify the discloser of unauthorised use or disclosure it discovers and reasonably cooperate to limit harm.
Duration and deletion
Either party may end future exchanges by written notice. Confidentiality duties continue for three years after each disclosure; trade secrets remain protected while they retain that status. Within 30 days of a written request, the recipient will return or delete Confidential Information, except records necessary for legal or compliance purposes and routine backups not reasonably accessible for ordinary use. Retained information remains protected and must not be used for another purpose.
Ownership, rights and law
Information remains owned by its discloser. No intellectual-property licence is granted beyond the stated purpose. Information is provided without a warranty of accuracy, except that fraud and liabilities that cannot lawfully be excluded are not excluded. Either party may seek remedies available under law; there is no automatic penalty. Irish law applies and Irish courts have exclusive jurisdiction, subject to mandatory applicable law. Changes require both parties’ written agreement. If one provision is unenforceable, the remaining provisions continue.
Notices and personal data
Send notices to support@sacollectioneire.com for SAC and to the Partner’s submitted email address. The separate privacy notice explains personal-data handling. NDA agreement does not provide marketing consent. Keep a copy of these terms and your submission receipt.
